General Terms of Service for Paydough Limited, outlining the legal agreement between users and Paydough regarding the use of our services.

These terms govern your rights, responsibilities, and usage restrictions.
These general terms ("Paydough General Terms") are a legal agreement entered into by and between Paydough Limited (company number 13146801) ("Paydough", "us", or "we") and the entity or person who enters into these Paydough General Terms ("you", "your", or "user").
These Paydough General Terms govern your use of Paydough's services, including software, dashboards, websites, integrations, AI-assisted functionality, invoicing tools, and other products and services (each a "Service", collectively the "Services").
By using any of Paydough's Services, you agree to be bound by these terms and any applicable Additional Terms.
These Paydough General Terms become effective as soon as:
- you indicate your acceptance of these terms or Additional Terms; or
- you start using our Services,
whichever happens first.
Please note that the terms of our Data Protection Addendum are incorporated into these Paydough General Terms by reference.
Definitions
Additional Terms: Terms specific to a Service.
Applicable Laws: All applicable laws and regulations.
Authorised Users: Individuals authorised by you.
Customers: Purchasers of your goods/services.
Data: Personal data, user content, and related information processed via the Services.
External Services: Third-party integrations.
Fees: All applicable charges.
Payment Services: Payment functionality provided by third parties.
Paydough Account: Your account to access Services.
Taxes: VAT, GST, sales tax, and similar.
Access to our Services
You must provide accurate and complete information when registering and using the Services.
We may request additional information for:
- onboarding;
- fraud prevention;
- regulatory compliance.
Failure to provide required information may result in suspension or termination.
Direct Relationship and Partner Model
Where you access the Services directly from Paydough:
These Paydough General Terms form the agreement between you and Paydough.
Paydough may also make the Services available via partners, resellers, or white-label arrangements.
Where this applies:
- the partner may contract directly with you;
- the partner is responsible for pricing, billing, and customer relationship;
To the fullest extent permitted by law, Paydough shall not be responsible for partner-managed relationships beyond provision of the underlying platform.
Partner Terms and Policies
Where Services are accessed via a partner, reseller, or white-label arrangement:
- any terms of service, privacy policies or other legal documents presented to you via the Services may be provided by that partner;
- such documents are the responsibility of the relevant partner and not Paydough;
- Paydough acts solely as a technical provider and host of the Services in this context.
To the fullest extent permitted by law, Paydough shall not be responsible for:
- the content, accuracy, or legal validity of partner-provided terms or policies;
- the partner's compliance with applicable laws;
- the partner's relationship with its customers.
Regulated and Payment Services
Certain Services involve payment functionality provided by third-party providers.
IMPORTANT:
- Paydough is not a payment institution
- Paydough does not hold or control funds
- payments are processed by third-party providers (e.g. Stripe)
- such providers are responsible for KYC, compliance, and transaction processing
Your use of payment services is subject to those providers' terms.
Informing us of changes
You must keep your account information accurate and up to date.
Failure to do so may result in suspension or termination.
Term & Termination
We may suspend or terminate access where:
- Terms are breached
- fraud or misuse is suspected
- required by law or partners
You may terminate at any time.
Termination does not affect outstanding obligations.
Amendments & Notices
We may update these Terms and Fees at any time.
Continued use constitutes acceptance.
Notices may be electronic.
Restrictions & Acceptable Use
You must not:
- misuse the Services
- violate laws
- infringe rights
- reverse engineer the platform
- use the Services to build competing products
We may suspend access where misuse is suspected.
The Services
Services may:
- change over time
- be interrupted
- be modified or withdrawn
We do not guarantee uninterrupted availability.
External and Third-Party Services
The Services rely on third-party providers.
We are not responsible for:
- outages
- performance issues
- third-party failures
Use of third-party services is at your own risk.
AI Features
Some Services include AI-generated outputs.
These:
- may be inaccurate or incomplete
- are provided for informational purposes only
You are responsible for reviewing outputs.
Paydough accepts no liability for reliance on AI-generated content.
Intellectual Property
All IP rights in the Services belong to Paydough or its licensors.
You are granted a limited, non-transferable licence to use the Services.
For the avoidance of doubt, any white-labelled versions of the Services, including dashboards configured using partner branding, assets or materials, remain part of the Services and do not constitute bespoke software or transfer any ownership rights to the partner or its customers.
Data & User Content
You retain ownership of your data.
You grant Paydough a limited licence to process data solely to provide and improve the Services.
You are responsible for ensuring you have rights to any data you provide.
Fees, Billing & Taxes
Fees:

are exclusive of VAT unless stated

EU: reverse charge may apply

Australia: GST handled where applicable
You are responsible for taxes.
Fees are non-refundable unless required by law.
Founding Members
Promotional pricing (including "Founding Member" offers):
- applies only while the product exists
- may be modified or withdrawn
- does not create permanent rights
Warranties
Services are provided "as is" and "as available".
To the fullest extent permitted by law, all warranties are disclaimed.
Limitation of Liability
Nothing excludes liability for:
- death or personal injury
- fraud
- non-excludable rights (including Australian Consumer Law)
To the fullest extent permitted by law:
- no liability for indirect or consequential loss
- no liability for loss of profit or revenue
- no liability for third-party services or AI outputs
Total liability is limited to:
Fees paid in the previous 12 months
Indemnity
You agree to indemnify Paydough for claims arising from:
- misuse of Services
- breach of Terms
- legal violations
Data Protection
Each party must comply with applicable data protection laws.

Assignment
We may assign these Terms.
You may not assign without consent.
General
These Terms form the entire agreement.
If any provision is invalid, the rest remains.
Failure to enforce is not a waiver.
Force Majeure
We are not liable for events outside reasonable control.
Governing Law
England and Wales.
Disputes
Parties agree to attempt good faith resolution before litigation.
